General Terms and Conditions (GTC) of the TestSolutions Academy
For the organization of in-house seminars
These "General Terms and Conditions for the Implementation of In-house Seminars" (GTC) are binding for contracts between TestSolutions GmbH, Georg-Voigt-Straße 17, 60325 Frankfurt am Main (hereinafter referred to as "TestSolutions") and the registering customer (hereinafter referred to as "Customer").
§1 Offer
TestSolutions initially submits an offer to the client to conduct an in-house seminar. The offer includes a trainer fee, travel expenses for the trainer, seminar fees for the participants and, if applicable, examination fees for the participants.
§2 Commissioning
The customer can only commission the in-house seminar on the basis of the offer in writing (by post, fax or e-mail).
The order only becomes binding once TestSolutions has confirmed the order in writing (by post, fax or e-mail).
The client can register several seminar participants (hereinafter referred to as "participants") for the in-house seminar with one order.
By registering, the customer accepts these GTC.
§3 Fees
All prices are subject to statutory value added tax.
If more participants take part in the in-house seminar than stated in the order, the seminar or examination fees shall increase accordingly.
Invoices will be issued approximately two weeks before the seminar date. The seminar fees are due without deduction within seven days of receipt of the invoice.
§4 Services
Unless explicitly agreed otherwise in the offer, the fees include the costs for the necessary seminar documents. Expenses incurred by a participant for travel to and from the training venue, accommodation and transfers are not included and will be shown separately if they can be booked through TestSolutions.
§5 Seminar organization
The organization of the seminar at the venue is the responsibility of the client, this includes
- Provision of a seminar room
- Provision of a projector
- Provision of a whiteboard and/or flipchart
- Catering for the participants and the trainer with drinks and lunch
§6 Deviations
TestSolutions reserves the right to make minor changes to the seminar content and to appoint a substitute trainer.
§7 Cancellations
TestSolutions reserves the right to cancel for organizational reasons (e.g. if the trainer is unable to attend at short notice due to illness).
In the event of a cancellation by TestSolutions, an attempt will be made to rebook the client for another date, provided the client agrees to this. In the event that the client has already paid fees, these will be reimbursed in full; there are no further claims, in particular reimbursement of costs arising from loss of working hours, travel or hotel costs of the participants, etc.
§8 Cancellation
Cancellation by the customer can only be made in writing (by post, fax or e-mail).
Cancellations up to four weeks before the start of the seminar are free of charge.
In the event of shorter-term cancelations, refusals or non-appearance of individual participants, the full seminar fees shall be due.
The nomination of substitute participants by the customer before the start of the seminar is possible free of charge.
§9 Copyright of the seminar documents
All seminar documents provided are for the personal use of the participant only. TestSolutions (or its licensor) reserves the rights to the seminar documents, including translation, reprinting and reproduction. No part of the seminar documents may be reproduced, duplicated, processed using electronic systems or distributed by third parties for any purpose whatsoever without the written permission of TestSolutions.
§10 Data protection
If a customer falls under the personal protection area of the Federal Data Protection Act, he/she agrees to the processing of the data insofar as it is necessary for the proper execution of the seminar.
The data received with the registration will be stored for internal purposes using automatic data processing tools.
The customer agrees to the forwarding of the following personal data to third parties:
- To register for the certification examination: forwarding of participant information (title, first name, surname, e-mail address) to iSQI GmbH, Potsdam.
- To create an account on our e-learning platform: Forwarding of participant information (title, first name, surname, e-mail address) to Epignosis UK Ltd, London.
No other data will be passed on.
§11 Liability
To the extent permitted by law, liability claims against TestSolutions are excluded.
§12 Collateral agreements
All ancillary agreements must be made in writing to be valid.
§13 Place of fulfillment and jurisdiction
The place of jurisdiction for all disputes arising from this contractual relationship is Frankfurt am Main.
The law of the Federal Republic of Germany shall apply.
